ANSWER: hey arvel, i remember the movie but i can't seem to recall that particular scene you mentioned. unless i 'll have the chance to view it again, i can probably get a hint what that song was.

i finally had the chance to watch that particular scene, and yes arvel, the song played in the background while they were talking was an oldie song "I WIll Always Be A Friend" from the early 80s. it wasn't a huge hit then but for those who dig a lot of smooth jazz stuff , that one's a big favorite.
