where can I get a replacement floor pnl for the passenger side.  its a 1995 jeep cherokee sport 4wd, 6 cyl.

There are several companies that sell patch or rust repair panels out there, Google it several different ways. I don't do much rust work or restorations so I'm not sure exactly who you would call for that vehicle. Try Browns of Two Rivers or it maybe Three rivers or JC Whitney.
