VA is Virginia USA, where 'Pay if paid' or 'pay when paid' clauses are effective if the clause is clear to the subcontractor. Otherwise the subcontractor gets paid even if the main contractor does not. The ruling case is Galloway Corp. v. S.B. Ballard Construct., 250 Va. 493, 464 S.E.2d 349 (1995).
