This gives me 4 things to do, one of them is to go to www.reg-patch.com which is more of a popup add or advertisement.

at the bottom it states

Failure to Act Now May Lead to System Failure

I downloaded something called www.fixed-pc.com, which scans but doesn't allow me to use without paying for it.

There was a localnet guy (My ISP) who insisted on downloading Spybot, but that didn't keep this from popping up. What is going on and how can i fix it, also what can it be.

This is an ad. You need a popup blocker. NEVER follow links that you are not sure of. Another thing  you can try is turning off Windows messaging service. Go to Control Panel>Administrative tools>Services. Find Windows messaging and disable it.
