Nonprofit Law - legal risk for board members

Expert: Harvey Mechanic - 11/7/2009

Question
Hello,I am the "Chair" for a 501(c)3,we are in good standing with all regulatory agencies. Our organization is controversial, and has been served with a notice of intent to sue and possible criminal charges being filed based on the actions of some members(not the Board). Our Board members worry about their "personal financial and criminal liability".Our Executive Director delayed informing the Board and we learned of the legal issue over the local radio news broadcast.Should we worry?

Answer
Are the Board members volunteers?  Let me know and I will then send you some information. Also, your issue is controlled by state law and states may differ somewhat with how they would treat such issues. Even though this forum is not for such state law issues, if you give me your state I may be able to direct you.
