Question
Which laptop is better for general use(include adobe photoshop),  on windows XP:
(since I need laptop with matte display, and both this models have WXGA Matte display).

MSI VX600X 15,4''/T3400/3GB/320GB/HG3410/FreeDOS
or
Fujitsu-Siemens ESPRIMO V6545 15.4/T4200/4GB/320GB/HD3450

Fujitsu-Siemens have shrinked down size keypad, so I'm a  little confused, would it be handy work on this keypad.

It honestly comes down to your price budget.
Those two are very similar. The MSI VX600X has a better Video Card, which is important for what you want to do, so it's the one I'd recommend.

Beyond that the only real difference is the Network Card (NIC) because the Fujitsu has a better NIC. It's Gigabit versus just 100Mb on the MSI. However, this is only important if you're working out of an office that has gigabit network connections or you have fiber-optic internet.

If they're priced close to the same, go with the MSI because Photoshop is a graphics heavy program and it has 512mb of graphics, versus only 256mb on the Fujitsu.
