Question I own an LLC and am selling the assets, the contracts, the name and the web site but not the LLC. The new owner will be running the company under a new LLC. Is the new owner liable of the express or implied warranty of the products (approximate $300 case)to provide repair or replacement.. Also, can he change the warranty. I will be dissolving the current LLC

I am not sure what you are asking me. I think you want to know if the buyer will have to honor the warranty you extended to your clients. This is more complicated than a simple yes or no. You have to think about what this represents for the person having to honor a warranty. Will the buyer be operating in the same location as you or using the same DBA? Is there an expense associated with warranty work? Who pays for it? Who benefited from the sale of warranty? was it an additional expense to the customer? If Buyer does not honor warranty will this hurt the business?
See my point? Certainly if you benefited and he will be penalized by warranty work than some sort of arrangement should be made where you limit his exposure to additional expenses.
