Small Business/Contracts Law - Is the contract Void?

Expert: David K. Staub - 12/9/2008

Question
I am a 50/50 partner in a LLC in MA.  A long time ago, we entered into a contract/agreement with a real estate agency for the marketing and sales of land.  Sadly, my partner died of cancer just last year.  I have not dissolved the LLC but i am wondering if the contract with the real estate agency is now void with the death of my partner.  Thanks in advance.

Answer
If the contract is with the LLC as you indicate, then the death of your partner is completely irrelevant. An LLC is an entity that is independent of its members.  The contact is not void or even "voidable" simply because one of the members of the LLC dies.
