Question
QUESTION: We have a viable healthy business going strong for almost 12 yrs. For clarification i will refer to the two business partners as John and Jane. There are actually two S.Corporations. S.Corp 1 owns the business and S.Corp 2 owns the land the business occupies. Both Jane and John or 50/50 stake holder in each S.Corp. S.Corp1; Jane President and treasurer, John Vice President and sec. S.Corp2; John President and treasurer, Jane Vice President and sec. The real world practice of the business relationship has been (for all 12 yrs) Jane doing the p.r. type duties for the business and John does all the money management, book keeping bill paying etc. John also is the one with great credit that is used to secure loans and credit cards. Jane has started to show signs of mental illness. We knew the seed was always there but obviously never thought worse case scenario. There are familial relationships that are also muddying things emotionally. Jane has started telling lies to people that may be in the position to help her "take over" the business and "force out" John. Some of the lies are the Business is in receivership and that John has walked away. Both of which will only take a glimpse to be completely exposed as a blatant lie. So the question is with Jane not dealing in facts and sound reality and possibly having someone "one her side" with means, what can she really do? I would imagine any court proceeding would need proof that simply isn't there. It is not beyond Jane to go about this in a criminal manner. Also can we be pointed in a direction to do more research on this unusual situation?
