Question
We have a start-up corporation and have been recently approached by several interested parties wishing to buy stock in our company, but we are not sure of what the legal way to sell or value our stock is since we have not started doing business yet.  How can we issue our stock to private investors before we open our doors?

Answer
Alex!  Smart man!  

a: get your CPA and attorney together and prepare immediately
either a SCOR or a D 504 or 5 or 6; these are PRIVATE offerings.

You can take subscriptions to shares and you
can easily open up an escrow account.

In that escrow account, like one for a home buyer, the
investor puts his/her/their investment capital in.

You and your legal team QUICKLY write up a private
securities offering and file it with the state
corporate commissioner; something USUALLY your attorney
does.  

Soon, when the state says you may do so, you will
qualify to have the money released!
