Question I'm trying to find an example of a term sheet requested for a private placement of COMMON stock. New s-corporation will be seeking $750,000 in exchange for common stock. All term sheets I've found are very complex and are for PREFERRED stock. I can't find list of required provisions/sections to cover for term sheet. I'd like to prepare myself to keep attorney fees at a minimum. Any ideas on where to find a boilerplate format? Thanks!
Answer i am betting you want a loan sheet showing repayment
terms that are converted into equity.
otherwise, a term sheet does not make sense. Common
stock is equity in a firm that does not guarantee
a return, ie., dividends.
